Terms and Conditions
Please read these Terms and Conditions carefully before you use SolaFlow. By using SolaFlow’s Services you are agreeing to these Terms and Conditions.
1. Introduction
These Terms & Conditions (“Terms”) govern access to and use of the SolaFlow platform, software, services, integrations, and related functionality (“Services”, “Platform”, “SolaFlow”, “we”, “our”, or “us”), operated by ETOTO Media Ltd, a company registered in England and Wales under company number 13843248, with its registered office at Wolfe Mead, Farnham Rd, Bordon, GU35 0NH.
By accessing or using SolaFlow, you (“Customer”, “Installer”, “User”, or “you”) agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
SolaFlow is a white-label lead generation and estimate platform designed for solar installation businesses. The Platform enables installers to provide interactive solar and battery estimate journeys to prospective customers.
These Terms apply to all users of the Platform, including installers, employees, contractors, and authorised users acting on behalf of an installer business.
2. Definitions
“Authorised Users”
Employees, contractors, agents, or representatives authorised by the Installer to access and use the Platform.
“Customer” or “Installer”
The business entity subscribing to or using SolaFlow.
“End User”
A homeowner or website visitor interacting with the estimator journey.
“Estimate”
An indicative projection of potential system costs, savings, specifications, and related information generated using customer-provided inputs.
“Installer Data”
Any data uploaded, submitted, generated, or processed through the Platform by the Installer or End Users.
“Services”
The software, tools, integrations, dashboards, APIs, estimator journeys, estimate generation systems, and related functionality provided by SolaFlow.
“Software”
The SolaFlow application and associated systems.
“Subscription”
The paid access plan or commercial agreement granting access to the Platform.
“Subscription Term”
The active period during which the Installer is authorised to access and use the Services.
3. Eligibility
You must:
- Be at least 18 years old;
- Have authority to act on behalf of the business using the Platform;
- Provide accurate registration, billing, and business information;
- Ensure all Authorised Users comply with these Terms.
You are responsible for all activity conducted under your account credentials.
4. Nature of the Service
SolaFlow provides:
- Interactive solar and battery estimate journeys;
- Lead generation functionality;
- White-label branding tools;
- Product and pricing configuration tools;
- CRM and webhook integrations;
- Estimate document generation;
- Customer data collection and management tools;
- Installer dashboards and administrative tools.
SolaFlow does not:
- Sell or install solar systems;
- Provide engineering certifications;
- Provide regulated financial advice;
- Guarantee installation suitability;
- Guarantee customer conversion rates;
- Guarantee system performance or energy savings;
- Act as the installer or contractor in any transaction.
SolaFlow is a software platform only. All installation services, customer agreements, surveys, technical validations, and final pricing remain the responsibility of the Installer.
5. Subscription & Access Rights
Subject to payment of applicable fees and compliance with these Terms, SolaFlow grants the Installer a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during the Subscription Term.
The Installer may permit Authorised Users to access the Platform solely for legitimate business purposes.
The Installer must not:
- Resell or sublicense access to the Platform;
- Share login credentials outside authorised personnel;
- Use the Platform to build a competing product or service;
- Attempt to reverse engineer, copy, modify, or replicate the Software;
- Access the Platform in an unlawful or unauthorised manner.
SolaFlow reserves the right to suspend or restrict access where misuse, security risks, or breaches of these Terms are suspected.
6. Fees, Billing & Renewals
The Installer agrees to pay all applicable subscription fees, add-on fees, and associated charges agreed between the parties.
Unless otherwise agreed in writing:
- Fees are non-refundable;
- Fees are exclusive of VAT and applicable taxes;
- Subscription renewals may occur automatically;
- SolaFlow may update pricing upon reasonable notice.
Failure to pay fees when due may result in:
- Suspension of account access;
- Restriction of Services;
- Termination of the Subscription.
The Installer remains responsible for all unpaid amounts accrued prior to termination.
7. Estimates & Pricing Disclaimer
All estimates generated through SolaFlow are:
- Indicative only;
- Based on customer-provided information;
- Subject to site survey and installer approval;
- Not legally binding offers or commitments.
Generated figures may include:
- Estimated installation costs;
- Estimated energy savings;
- Payback period calculations;
- Export tariff assumptions;
- Environmental impact projections.
Actual pricing and system suitability may vary due to:
- Roof condition;
- Structural limitations;
- Electrical infrastructure;
- Installer requirements;
- Regional regulations;
- Product availability;
- Market pricing changes;
- Survey findings.
SolaFlow does not guarantee:
- Energy savings;
- Grant eligibility;
- Export tariff rates;
- Return on investment;
- Installation suitability;
- System performance accuracy.
Final pricing and system specifications remain entirely the responsibility of the Installer.
8. Installer Responsibilities
The Installer is solely responsible for:
- Final surveys and technical validation;
- Consumer-facing sales and communication;
- Regulatory compliance;
- Pricing accuracy;
- Installation suitability;
- Consumer protection compliance;
- Required licences and certifications;
- Customer agreements and contracts;
- Accuracy of uploaded branding, pricing, and content.
The Installer must ensure all information presented to customers complies with applicable laws and advertising standards.
The Installer acknowledges that SolaFlow does not supervise or control installer business operations.
9. Acceptable Use Restrictions
The Installer must not:
- Upload unlawful, harmful, defamatory, or infringing material;
- Use the Platform for fraudulent or misleading purposes;
- Introduce malware, viruses, or malicious code;
- Attempt unauthorised access to systems or infrastructure;
- Interfere with Platform functionality or security;
- Use automated systems to scrape or extract data;
- Circumvent access restrictions or security controls;
- Use the Platform in breach of applicable laws or regulations.
SolaFlow reserves the right to suspend access immediately where misuse or security risks are identified.
10. Data Protection & Privacy
SolaFlow may process:
- Property information;
- Energy usage data;
- Contact information;
- Customer preferences;
- Estimate interaction data;
- System configuration selections.
Data processing is governed by applicable privacy laws, including the UK GDPR where applicable.
The Installer acts as the data controller for customer information collected through their branded estimator journeys.
SolaFlow acts as a processor or sub-processor where applicable in providing the Services.
The Installer is responsible for:
- Providing lawful privacy notices;
- Obtaining required consents;
- Managing customer rights requests;
- Ensuring lawful data collection and usage.
SolaFlow implements reasonable technical and organisational security measures but cannot guarantee absolute security of online systems.
11. Third-Party Services & Integrations
The Platform may integrate with third-party services including:
- Google Maps;
- CRM systems;
- Automation platforms;
- Webhook services;
- Analytics tools.
SolaFlow is not responsible for:
- Third-party outages;
- API failures or changes;
- Data delays caused by third-party providers;
- External platform security incidents;
- Third-party functionality interruptions.
Use of third-party services may also be subject to separate third-party terms and privacy policies.
12. Intellectual Property
All intellectual property rights in the Platform, Software, workflows, calculations, documentation, branding, and underlying systems remain the exclusive property of SolaFlow and its licensors.
Nothing in these Terms transfers ownership rights to the Installer.
The Installer retains ownership of:
- Uploaded branding assets;
- Installer-specific data;
- Customer relationship data.
The Installer grants SolaFlow a limited licence to process Installer Data solely for the purpose of operating and improving the Services.
Feedback, suggestions, or recommendations provided to SolaFlow may be used without restriction or compensation.
13. Availability, Support & Maintenance
SolaFlow aims to maintain reliable platform availability but does not guarantee uninterrupted or error-free operation.
Temporary interruptions may occur due to:
- Maintenance;
- Infrastructure issues;
- Security incidents;
- Third-party outages;
- System upgrades.
Features, functionality, integrations, and interfaces may change over time.
SolaFlow may:
- Modify or discontinue features;
- Release updates or patches;
- Restrict beta functionality;
- Perform maintenance without prior notice where necessary.
Support availability may vary depending on subscription level or commercial agreement.
14. Limitation of Liability
To the fullest extent permitted by law, SolaFlow shall not be liable for:
- Indirect or consequential losses;
- Loss of profits;
- Loss of business;
- Loss of revenue;
- Loss of opportunity;
- Loss of goodwill;
- Data loss;
- Customer disputes;
- Installation errors;
- Regulatory breaches by installers;
- Reliance on estimate accuracy.
The Installer assumes sole responsibility for:
- Business decisions made using the Platform;
- Conclusions drawn from estimates or calculations;
- Final pricing and installation recommendations.
Total aggregate liability arising from the Services shall not exceed the total fees paid by the Installer during the previous 12 months preceding the claim.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
15. Indemnities
The Installer agrees to indemnify and hold harmless SolaFlow against claims, damages, liabilities, losses, costs, and expenses arising from:
- Misuse of the Platform;
- Breach of these Terms;
- Regulatory non-compliance;
- Misleading customer representations;
- Uploaded content or branding;
- Consumer disputes relating to installation services;
- Intellectual property infringement caused by Installer materials.
16. Suspension & Termination
SolaFlow may suspend or terminate access immediately where:
- Fees remain unpaid;
- These Terms are breached;
- Fraudulent activity is suspected;
- Platform security is threatened;
- Use of the Platform creates legal or operational risk.
Upon termination:
- Access rights immediately cease;
- Platform access may be disabled;
- Data retention periods may apply;
- Outstanding payment obligations remain enforceable.
Termination does not affect accrued rights or liabilities existing prior to termination.
17. Confidentiality
Each party agrees to protect confidential information disclosed during the business relationship.
Confidential information includes:
- Technical systems;
- Commercial information;
- Pricing structures;
- Customer information;
- Business processes;
- Non-public operational data.
Confidential information may only be disclosed:
- Where legally required;
- To professional advisers under confidentiality obligations;
- Where necessary to provide the Services.
These obligations survive termination of the agreement.
18. Force Majeure
SolaFlow shall not be liable for delays or failures caused by events beyond reasonable control, including:
- Internet outages;
- Infrastructure failures;
- Cyberattacks;
- Government actions;
- Natural disasters;
- Labour disputes;
- Utility failures;
- Third-party service disruptions.
Affected obligations shall be suspended for the duration of the relevant event.
19. Changes to the Platform & Terms
SolaFlow may modify:
- Platform functionality;
- Pricing structures;
- Features;
- Integrations;
- Technical requirements;
- These Terms.
Where material changes occur, reasonable efforts will be made to provide notice.
Continued use of the Platform following updates constitutes acceptance of revised Terms.
20. Entire Agreement
These Terms constitute the entire agreement between the parties relating to the Services and supersede all prior discussions, understandings, or agreements.
21. Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
22. Waiver
Failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
23. Assignment
The Installer may not assign or transfer rights under these Terms without prior written consent from SolaFlow.
SolaFlow may assign or transfer its rights and obligations without restriction.
24. Third-Party Rights
These Terms do not confer rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
25. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
